• Lead Times: Lead times are from receipt of order and following artwork approval, subject to stock availability.

• Orders are subject to a 10% under or over run, charged pro rata.

• Artwork production or amendments may be charged.
• Quotations are valid for 28 days, except for USB Flash drives, which are valid for a maximum of 5 working days. Prices must still be re-confirmed at the point of order.

1. Definitions:

1.1 In these conditions, the following terms have the following meanings:

• ‘Customer’ means the customer of Brand Alchemists Ltd.
• ‘Contract’ means any contract for the sale of Goods by Brand Alchemists Ltd to the Customer.
• ‘Goods’ means any goods forming the subject of this contract.
• ‘Price’ means the price as detailed on the Order Acknowledgement Form.
• ‘Order’ means any verbal orders confirmed in writing to Brand Alchemists Ltd, including signed purchase orders and letters sent by fax, post, or e‐mail from the Customer. 

1. Quotation:

2.1 Quotations by Brand Alchemists Ltd, unless otherwise stated, are open for acceptance within 28 days of the date of the quotation.

1. Existence Of Contract:

3.1. No Contract shall come into existence until the Order has been received by Brand Alchemists Ltd. 3.2 These conditions shall be incorporated into the Contract, excluding any terms or conditions stipulated or referred to by the Customer. 3.3 No variation or amendment of this Contract or oral promise or commitment related to it shall be valid unless committed to writing and signed by or on behalf of all parties. 3.4 Acceptance of delivery of the Goods shall be conclusive evidence of the Customer’s acceptance of these conditions.

1. Prices:

4.1 The Price for the goods excludes carriage, VAT, and other taxes or duties, unless otherwise stated. 4.2 Price changes take effect on the date of service on the Customer of notice of the change. 4.3 All prices are subject to VAT and carriage where applicable. 4.4 Prices quoted directly or via any Brand Alchemists catalogue, website, or media source are guides only. 4.5 All prices are subject to sight of final artwork. 4.6 Brand Alchemists Ltd reserves the right to re‐quote and adjust prices in the event of an error, changes in specifications, or any increase in costs after the date of the Contract. 4.7 Small Order Surcharge: Orders under £250.00 may incur an administrative surcharge of £25.00. 4.8 Sale Pricing & Promotional Offers: Discount offers may not be combined with other offers, and free delivery offers apply to 1 mainland UK address.

1. Goods:

5.1 The Customer is responsible for ensuring that the Goods ordered are suitable for their intended use. 5.2 If a sample of the Goods is provided and accepted by the Customer, Brand Alchemists Ltd is not liable for variations to the Customer’s specifications if the manufacturing process has commenced. 5.3 The risk in any Goods supplied to the Customer remains with the Customer unless agreed otherwise in writing. 5.4 Brand Alchemists Ltd reserves the right to charge for additional work required to meet the Customer’s specification. 5.5 Brand Alchemists Ltd may suspend or terminate the supply of any Goods if the Customer fails to make payments or defaults in any obligations under the Contract. 5.6 If the Goods are manufactured according to the Customer’s design or specification, the Customer shall compensate Brand Alchemists Ltd for any claims, expenses, and liabilities arising from them.

1. Artwork / Colours / Product Specification:

6.1 Artwork: If the Customer cannot provide suitable artwork, Brand Alchemists Ltd can provide an artwork redraw service for a fee. 6.2 Visual Proofs: Visual proofs are a guide only and must be signed off before production. 6.3 Colour/Pantone Reproduction: Brand Alchemists Ltd makes efforts to match print colours but does not guarantee exact matches. 6.4 Product Specification: Brand Alchemists Ltd reserves the right to alter product specifications without notice.

1. Manufacturing Tolerances (Overs / Unders):

Brand Alchemists allows for up to 10% over/under runs due to manufacturing tolerances.

1. Payment Terms:

8.1 Credit Policy for Approved / Existing Customers: Payment within 30 days of the date of the invoice. 8.2 Credit Policy for New Customers: Payment 100% pro forma on first three orders. 8.3 No set-off, counterclaim, or deduction may be made by the Customer against payment. 8.4 The time of payment shall be the essence of the Contract. 8.5 Existing clients: Payment on 30 days credit. 8.6 Please note all credit card payments will incur an administration fee of 2% 8.7 New clients: On the three orders, 100% pro forma payment. On the second order, 50% pro forma.

1. Interest:

9.1 In the event of any overdue payment, Brand Alchemists Ltd reserves the right to charge interest on the overdue amount at a rate of 8% per annum above the base lending rate of the Bank of England.

1. Delivery:

10.1 Dates and times quoted for delivery are approximate only and Brand Alchemists Ltd shall not be liable for any delay in delivery. 10.2 Time of delivery is not of the essence of the Contract. 10.3 Brand Alchemists Ltd may deliver the Goods in advance of the quoted delivery date on giving reasonable notice to the Customer.

1. Forced Majeure:

Brand Alchemists Ltd shall not be liable for any failure or delay in supply or delivery of Goods due to any cause beyond its control.

1. Liability:

12.1 Brand Alchemists Ltd’s liability for any loss or damage arising from defects in the Goods shall be limited to the replacement of the Goods. 12.2 Brand Alchemists Ltd shall not be liable for any consequential loss or damage or any other expenses.

1. Retention Of Title:

13.1 The Goods shall remain the property of Brand Alchemists Ltd until payment has been made in full. 13.2 Until payment in full, the Customer shall keep the Goods separate from other goods and clearly identify them as the property of Brand Alchemists Ltd. 13.3 The Customer grants Brand Alchemists Ltd an irrevocable license to enter at any time any vehicle, premises, or property owned, occupied, or used by the Customer to repossess any Goods.

1. Returns:

14.1 No Goods may be returned to Brand Alchemists Ltd without the prior agreement in writing. 14.2 Returnable Goods must be returned in original packaging and in the condition supplied by Brand Alchemists Ltd. 14.3 Goods must be returned at the Customer’s expense.

1. Cancelation:

15.1 The Customer may cancel an Order within 48 hours of placing it if the order has not been proofed and is not in production. 15.2 Brand Alchemists Ltd may cancel any Contract if the Customer becomes insolvent or bankrupt, enters into an arrangement with its creditors, or breaches any of the terms of the Contract. 15.3 If Brand Alchemists Ltd cancels a Contract, it shall be entitled to recover payment for the Goods already supplied.

1. Termination:

16.1 Brand Alchemists Ltd may terminate a Contract or cancel any outstanding delivery or deliveries under the Contract if the Customer breaches any of these terms or any other terms agreed in writing between the parties. 16.2 Upon termination, the Customer shall pay Brand Alchemists Ltd for all Goods delivered and any loss suffered as a result of the termination.

1. Insolvency Of Customer:

17.1 If the Customer becomes insolvent, enters into an arrangement with its creditors, has a receiver or administrator appointed over all or any part of its business, or goes into liquidation, Brand Alchemists Ltd may terminate the Contract and the Customer shall immediately pay Brand Alchemists Ltd for all Goods delivered.

1. Personal Data:

The Customer agrees that Brand Alchemists Ltd may use personal information provided by the Customer for the purpose of providing the Goods and may disclose such information to third parties for this purpose.

1. General:

19.1 These conditions shall be governed by and construed in accordance with the laws of England. 19.2 Brand Alchemists Ltd may assign or subcontract any Contract or any part of it. 19.3 Any notice required or permitted to be given by either party to the other under these conditions shall be in writing. 19.4 Brand Alchemists Ltd shall not be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control. 19.5 Any waiver of any breach of the Contract by the Customer shall not be treated as a waiver of any subsequent breach. 19.6 If any provision of these conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these conditions and the remainder of the provision in question shall not be affected. 19.7 Brand Alchemists Ltd shall not be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control. 19.8 No variation or amendment of the Contract or oral promise or commitment related to it shall be valid unless committed to writing and signed by or on behalf of all parties. 19.9 Headings are for convenience only and do not affect the interpretation of these conditions. 19.10 These terms and conditions apply to the exclusion of all other terms and conditions unless expressly agreed otherwise in writing by Brand Alchemists Ltd.

20. Dispute Resolution:

20.1 In the event of a dispute between the parties arising out of or in connection with the Contract, the parties shall attempt to resolve the dispute by negotiation. 20.2 If the dispute cannot be resolved by negotiation within 90 days, Brand Alchemists Ltd’s has the right to take legal action. 20.3 If the dispute is not resolved within 90 days, the dispute may be referred to arbitration in accordance with the Arbitration Act 1996 or any statutory modification or re-enactment thereof. 20.4 The seat of arbitration shall be United Kingdom, and the language of the arbitration shall be English.

21. Governing Law And Jurisdiction:

21.1 These terms and conditions shall be governed by and construed in accordance with the laws of England. 21.2 The parties agree that the English courts shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms and conditions or their subject matter or formation (including non-contractual disputes or claims).

22. Entire Agreement:

These terms and conditions constitute the entire agreement between the parties and supersede all prior negotiations, understandings, and agreements between the parties, whether written or oral, relating to the subject matter of these terms and conditions.

23. Amendments:

No amendment or modification of these terms and conditions shall be valid unless in writing and signed by both parties.

24. Survival:

Any provision of these terms and conditions that is intended to survive termination or expiration of the Contract shall so survive.

25. Third Party Rights:

A person who is not a party to these terms and conditions shall have no right to enforce any term of these terms and conditions under the Contracts (Rights of Third Parties) Act 1999.

26. Execution:

These terms and conditions may be executed in any number of counterparts, each of which when executed and delivered shall constitute a duplicate original, but all the counterparts shall together constitute the one agreement.
